These Terms of Service ("Terms") govern the use of the Wrought Design Agency website and services provided by Wrought Design Agency LLC ("Wrought," "we," "us," or "our").
By using our website, purchasing services, accepting a proposal, subscribing to a service, or otherwise engaging Wrought, you agree to these Terms.
Individual projects may also be governed by a proposal, statement of work,subscription agreement, service agreement, or other written agreement. If a project-specific written agreement conflicts with these Terms, the project-specific agreement will control to the extent of that conflict.

SERVICES
Wrought is a design agency providing creative, design, and consulting services. Services may include:
Branding and visual identity
Logo design
Graphic design
Print and editorial design
Packaging and label design
Vehicle wrap and vehicle graphic design
Signage and environmental graphic design
Advertising and marketing materials
User interface and user experience design
Website and digital design
Social and digital assets
Creative consultation
Related design services
The specific scope, deliverables, schedule, pricing, and requirements for each project will be described in the applicable proposal, statement of work, subscription plan, or other written agreement.
Services or deliverables not expressly included in the agreed scope may require additional fees.
Digital Services Only
Wrought provides design, creative, consulting, and digital-delivery services. All work and final deliverables are provided digitally unless expressly agreed otherwise in writing.
Wrought does not operate as a printer, manufacturer, fabricator, installer, fulfillment company, shipping provider, or physical-product producer.
Projects may involve designs intended for physical applications—including packaging, vehicle graphics, signage, apparel, printed materials, displays, and merchandise—but Wrought's service is limited to creating and digitally delivering the applicable design files.

PROPOSALS AND PROJECT APPROVAL
Before beginning a project, Wrought may provide a proposal, estimate, statement of work, subscription description, or other written description of the requested services.
The Client is responsible for reviewing the scope, deliverables, pricing, schedule, and other terms before approving the project.
Approval may occur through a signed agreement, electronic acceptance, payment of a required deposit or invoice, or another method specified by Wrought.
Material changes requested after approval may require a revised scope, schedule, and price.

PAYMENT
Project fees, deposits, payment schedules, recurring charges, and applicable expenses will be disclosed in the applicable proposal, agreement, subscription, or invoice.
Wrought may require a deposit or advance payment before beginning work.
Unless otherwise stated in writing, invoices are due according to the payment terms stated on the applicable invoice, proposal, or agreement.
Wrought may suspend work and withhold final deliverables while an invoice is past due.
Additional services, revisions, licensing expenses, rush work, or work outside the agreed scope may result in additional charges when authorized or otherwise permitted by the applicable agreement.
The Client is responsible for applicable taxes unless otherwise required by law.

SUBSCRIPTIONS AND RECURRING SERVICES
Certain Wrought services may be offered on a recurring subscription basis.
All subscription plans are billed monthly.
The applicable subscription plan will describe its monthly price, included services, request limitations, turnaround expectations, cancellation requirements, and other relevant conditions.
Subscription fees are charged in advance at the beginning of each monthly billing period using the payment method provided by the Client.
Unless cancelled in accordance with the applicable subscription terms, subscriptions automatically renew each month, and the Client authorizes Wrought and its applicable payment processor to charge the monthly subscription fee.
Each monthly payment provides access to the services included in the selected plan for that monthly billing period.
A subscription does not guarantee unlimited simultaneous projects or immediate delivery. Work is completed according to the applicable plan, project complexity, Wrought's current workload and queue, and the Client's responsiveness.
Unused requests, services, hours, or capacity do not roll over from one monthly billing period to another unless expressly stated otherwise in writing.
Changes to a subscription plan may take effect at the beginning of the next monthly billing period unless otherwise agreed in writing.
Cancellation prevents future monthly renewals but does not automatically entitle the Client to a refund for amounts already paid for the current billing period, except where otherwise stated in writing or required by applicable law.
Wrought may change subscription pricing or plan features from time to time. Changes affecting an existing subscription will be communicated before taking effect and will apply no earlier than a future monthly billing period, subject to applicable law.
Monthly billing periods, renewal dates, cancellation deadlines, and other subscription-related dates and times are determined according to Eastern Time (ET) unless otherwise stated in writing.

CLIENT RESPONSIBILITIES AND CLIENT-PROVIDED MATERIALS
The Client is responsible for providing all information and materials reasonably necessary for Wrought to complete the agreed services. This may include:
Written copy and text
Spelling and grammar
Names and contact information
Product information and pricing
Photographs and illustrations
Logos and brand assets
Sign dimensions and measurements
Vehicle measurements, templates, and specifications
Packaging dimensions
Dielines and cut lines
Fold lines, bleeds, and safe areas
Print dimensions and trim sizes
Product specifications
Brand colors and color specifications
Website content and links
Technical specifications
Production templates
Materials supplied by printers, manufacturers, fabricators, installers, developers, or other third parties
The Client is responsible for ensuring that all information, content, measurements, dimensions, specifications, templates, and other materials supplied to Wrought are complete, accurate, current, and appropriate for their intended use.
Wrought may rely on Client-provided materials when performing its services and is not responsible for independently verifying their accuracy unless verification is expressly included within the agreed scope of work.
Wrought is not responsible for errors, inaccuracies, production problems, delays, additional expenses, or other consequences resulting from inaccurate, incomplete, outdated, or incorrect information or materials supplied or approved by the Client.
This includes, without limitation, inaccuracies involving sign sizes or measurements; vehicle measurements or templates; packaging dimensions; dielines or cut lines; fold lines; product dimensions or specifications; spelling or grammar; names or contact information; prices; product descriptions; legal or regulatory information; or other Client-provided content or specifications.
If Wrought identifies an apparent error or inconsistency, Wrought may bring it to the Client's attention. Doing so does not create an obligation for Wrought to proofread, measure, inspect, test, or independently verify all Client-provided materials.
The Client also represents that it owns or has obtained the necessary rights, licenses, permissions, and authorizations to provide and use all materials supplied to Wrought.
Wrought is not responsible for delays caused by missing materials, delayed feedback or approvals, inaccurate information, changes in Client direction, or other circumstances controlled by the Client.

REVISIONS AND SCOPE CHANGES
The number or extent of revisions included in a project will be stated in the applicable proposal, subscription plan, or agreement.
A revision generally means a reasonable modification to work already presented. A revision does not necessarily include a completely new concept, new creative direction, additional deliverable, or substantial change to the approved scope.
Requests exceeding the included revisions or agreed scope may require additional fees and may affect the project schedule.
When reasonably practicable, Wrought will communicate significant scope changes before performing materially additional billable work.

PROJECT SCHEDULES
Project schedules and delivery dates are good-faith estimates unless expressly guaranteed in writing.
Schedules may change because of Client delays, scope changes, delayed approvals, missing materials, third-party requirements, technical issues, emergencies, or circumstances outside Wrought's reasonable control.
Wrought will make reasonable efforts to communicate significant changes to estimated project schedules.

DIGITAL DELIVERY
All final Wrought deliverables are delivered digitally.
Depending on the project, final files may include PDF, SVG, EPS, AI, PSD, JPG, PNG, or other formats appropriate for the work and agreed scope.
Delivery of digital artwork intended for a physical application does not include printing, manufacturing, fabrication, installation, shipping, fulfillment, or physical delivery.
Wrought is not responsible for maintaining permanent backups of Client deliverables after a project has concluded. Clients are responsible for securely storing final files after delivery.

CANCELLATION AND TERMINATION
Either party may terminate a project as permitted by the applicable proposal, subscription terms, or written agreement.
If a project is cancelled after work has begun, the Client remains responsible for amounts owed for work already performed, approved expenses, third-party commitments, and other non-refundable costs incurred through the effective cancellation date, subject to applicable law and the applicable agreement.
Deposits, retainers, subscription payments, and advance payments are refundable only when expressly stated in writing or required by law.
Wrought may suspend or terminate services for nonpayment, abusive or unlawful conduct, repeated failure to provide necessary information or approvals, material breach of an agreement, or requests Wrought reasonably believes would violate applicable law or third-party rights.

INTELLECTUAL PROPERTY
Unless otherwise specified in writing, Wrought retains ownership of its:
Pre-existing intellectual property
Internal processes and methods
Templates and tools
Know-how
Preliminary work
Unused or rejected concepts
Design explorations
Materials not expressly transferred to the Client
Upon receipt of full payment, the Client will receive the ownership or usage rights to the final approved deliverables described in the applicable agreement.
The exact rights transferred may vary depending on the project.
Third-party materials—including fonts, stock photography, illustrations, software, plugins, templates, mockups, code libraries, music, video, or other licensed assets—remain subject to their respective licenses.
Wrought cannot transfer ownership of third-party intellectual property beyond the rights permitted by the applicable license.
Unless otherwise agreed in writing, preliminary concepts, rejected designs, unused directions, and working files remain the property of Wrought.

PORTFOLIO AND PROMOTIONAL USE
Unless otherwise agreed in writing, Wrought may display completed work and publicly released project materials in its portfolio, website, social media, presentations, case studies, award submissions, promotional materials, and other demonstrations of Wrought's work.
Wrought will not knowingly disclose confidential Client information through portfolio use.
If a project is governed by a confidentiality agreement, embargo, or other written restriction, Wrought will comply with the applicable restrictions.

DESIGNS INTENDED FOR PHYSICAL PRODUCTION
Wrought may create digital designs intended to be physically produced by an independent third party.
Wrought does not print, manufacture, fabricate, produce, install, ship, fulfill, or physically deliver these products.
Wrought's deliverable is the applicable digital artwork or production file.
Physical production must be performed by an independent printer, manufacturer, fabricator, installer, or other production provider selected or approved by the Client.
Packaging and labels
Vehicle wraps and graphics
Signs and banners
Business cards and stationery
Brochures and catalogs
Posters and advertisements
Apparel and merchandise graphics
Displays and environmental graphics
Other print-ready or production-ready artwork

THIRD-PARTY PRODUCTION PROVIDERS
At the Client's request, Wrought may recommend a production provider, communicate with a provider, supply digital files, answer design-related questions, or prepare artwork according to specifications supplied by that provider.
Such assistance does not make Wrought the printer, manufacturer, fabricator, installer, shipper, seller, or producer of the resulting physical product.
The Client contracts directly with and pays the third-party provider.
Third-party providers are independent businesses and are responsible for their own pricing, materials, production methods, printing, fabrication, manufacturing, installation, shipping, scheduling, quality control, workmanship, warranties, and customer service.
To the extent permitted by law, Wrought is not responsible for the acts, omissions, errors, delays, defects, damage, loss, or other performance of an independent third-party provider.

PRODUCTION FILES AND PHYSICAL OUTPUT
Wrought may prepare digital files according to specifications supplied by the Client or the Client's selected production provider.
The Client and production provider are responsible for verifying that final files are suitable for the intended production process before production begins.

Bleeds and safe areas
Cut lines and dielines
Fold lines
Color modes and spot colors
Materials and substrates
Resolution
File formats
Installation requirements
Manufacturing tolerances
Other technical specifications
Physical output may differ from digital previews because of printing methods, inks, materials, substrates, manufacturing processes, equipment, lighting, display calibration, color profiles, installation conditions, and other production variables outside Wrought's control.
Colors displayed digitally are not guaranteed to exactly match printed, painted, fabricated, manufactured, or installed colors.
Unless otherwise agreed in writing or required by law, Wrought is not responsible for costs associated with reprinting, remanufacturing, refabricating, reinstalling, replacing, shipping, or otherwise correcting physical products produced by a third party when the issue results from Client-provided information, third-party production, or another circumstance outside Wrought's control.

CLIENT REVIEW AND APPROVAL
The Client is responsible for carefully reviewing all deliverables, proofs, concepts, and production files before providing final approval, publication, distribution, or release for production.
The Client's review should include, as applicable:
Spelling and grammar
Names and contact information
Prices and product information
Dates and times
Dimensions and measurements
Sign sizes
Vehicle specifications and templates
Packaging dimensions
Dielines and cut lines
Fold lines, bleeds, and safe areas
Colors and color specifications
Images and graphics
Links and URLs
Legal notices and disclosures
Product claims and specifications
Other Client-specific information
Final approval constitutes the Client's confirmation that the information, content, dimensions, specifications, and other materials contained in the approved deliverable are accurate and acceptable for their intended use.
For designs intended for physical production, Client approval authorizes release of the digital artwork for production.
The Client and its selected production provider are responsible for confirming that the final files, measurements, dimensions, dielines, cut lines, specifications, materials, and other technical requirements are appropriate for the intended production process before printing, manufacturing, fabrication, or installation begins.
Wrought will make reasonable efforts to produce accurate work and implement Client-provided information correctly. However, Wrought is not responsible for inaccuracies originating from Client-provided or Client-approved materials.
For example, if the Client supplies an incorrect sign measurement, packaging dieline, cut line, vehicle template, product specification, spelling, grammar, price, address, or other information, Wrought is not responsible for an error in the resulting design or physical product that arises from that incorrect information.
If the Client discovers an error after final approval, Wrought may assist with correcting the digital artwork. Corrections may constitute additional work and may result in additional fees depending on the cause and scope of the correction.

WEBSITES, UI/UX AND DIGITAL PRODUCTS
Website designs, interface designs, prototypes, wireframes, mockups, and other digital concepts may demonstrate intended appearance, functionality, or user experience.
Unless expressly included in the applicable scope, Wrought does not guarantee identical implementation across every browser, operating system, device, screen size, or third-party platform.
Unless specifically included in writing, Wrought does not provide or guarantee website hosting, software development, cybersecurity services, ongoing maintenance, regulatory or accessibility compliance, search-engine rankings, uninterrupted operation, or compatibility with future software and platform changes.
Development, hosting, maintenance, and other technical services provided by third parties may be subject to separate terms and fees.

TRADEMARKS AND LEGAL CLEARANCE
Wrought is a design agency and does not provide legal advice.
Wrought does not guarantee that a proposed company name, trademark, logo, slogan, product name, domain name, design, or other creative element is legally available for use or registration.
Clients are responsible for obtaining appropriate professional legal clearance before adopting or registering trademarks, business names, or other intellectual property.
Any creative research, competitor research, or preliminary availability research performed by Wrought is not a substitute for legal advice or professional trademark clearance.

CONTENT INVOLVING MINORS
Website and Direct Collection From Children Under 13
Wrought's website and services are intended for businesses and adults and are not directed to children under 13.
Wrought does not knowingly solicit or collect personal information directly from children under 13 through its website or online services.
If Wrought becomes aware that personal information has been collected directly from a child under 13 without appropriate authorization, Wrought will take reasonable steps to address or delete that information as required by applicable law.
Client-Provided Media Depicting Individuals Under 18
Clients may provide photographs, video, audio, illustrations, likenesses, or other media depicting or identifying individuals under 18 years of age as part of a project.
The Client is responsible for obtaining all necessary permissions, releases, licenses, parental or legal guardian consent, and other authorization required for Wrought to receive, access, edit, reproduce, or use such materials for the requested project.
By providing such materials to Wrought, the Client represents that it has the legal right and necessary authorization to provide and use those materials for the intended purpose.
Wrought reserves the right, in its sole discretion, to decline, remove, discontinue, or refuse the use of any photograph, video, audio, illustration, likeness, AI-generated depiction, or other media depicting or representing a person under 18 years of age for any reason.
Wrought may require the Client to provide suitable alternative materials when submitted content is declined.
Violent Content Involving Individuals Under 18
Under no circumstances will Wrought knowingly create, edit, incorporate, or use photographs, video, illustrations, AI-generated imagery, or other visual media depicting or representing a person under 18 years of age as participating in, being subjected to, or being threatened with violence.
This prohibition includes, but is not limited to, depictions of physical assault, abuse, torture, serious physical injury, killing, or weapons being used or threatened against a minor.
This restriction applies regardless of whether the depiction is real, staged, fictional, illustrated, digitally manipulated, stock media, or generated using artificial intelligence.
Wrought reserves the right to reject, suspend, or terminate a project or creative direction that Wrought reasonably determines violates this policy.

CONFIDENTIALITY
Each party may receive confidential or proprietary information during an engagement.
Each party agrees to use reasonable care to protect confidential information and use it only for purposes related to the engagement, except where disclosure is authorized, required by law, or reasonably necessary to professional advisers or service providers subject to appropriate confidentiality obligations.
Information publicly available through no breach of an obligation is not considered confidential.

NO GUARANTEE OF BUSINESS RESULTS
Wrought provides design and creative services intended to support the Client's objectives.
Wrought does not guarantee specific sales, revenue, profit, conversion rates, website traffic, engagement, customer acquisition, market performance, search-engine rankings, awards, investment, or other business results.

LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Wrought will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to Wrought's website, services, or deliverables.
To the maximum extent permitted by applicable law, Wrought's aggregate liability arising from a particular project or service will not exceed the amount actually paid to Wrought for the services giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

WEBSITE USE
The Wrought website may be used for lawful purposes.
Users may not intentionally interfere with the website's operation or security, attempt unauthorized access to systems or accounts, distribute malicious software, unlawfully reproduce protected content, or otherwise use the website in violation of applicable law.
Unless otherwise indicated, Wrought's original website design, branding, graphics, artwork, text, and other original content are owned by Wrought or used with permission.

GOVERNING LAW
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute-resolution or venue requirements contained in a project-specific written agreement will control for that engagement.

LOCATION AND TIME ZONE
Wrought Design Agency LLC is located in Lancaster, Pennsylvania, United States, and operates according to Eastern Time (ET).
Unless otherwise expressly stated in writing, all dates, deadlines, submission times, scheduled meetings, response periods, cancellation deadlines, billing periods, renewal dates, and other time-based requirements associated with Wrought's services are interpreted according to Eastern Time.
Eastern Time includes Eastern Standard Time (EST) and Eastern Daylight Time (EDT) as applicable throughout the year.
Clients located in other time zones are responsible for accounting for time-zone differences when submitting materials, attending meetings, providing approvals, cancelling subscriptions, or meeting deadlines.
Wrought may provide services to Clients located outside Pennsylvania or the United States; however, Wrought's normal business operations and scheduling remain based in Lancaster, Pennsylvania and Eastern Time unless otherwise agreed in writing.

CHANGES TO THESE TERMS
Wrought may update these Terms from time to time.
The current version will be published on this page with an updated "Last Updated" date.
Changes will apply prospectively unless otherwise required or permitted by law.
